Terms of Service

1. Introduction & Acceptance

These Terms of Service ("Terms") govern your use of the website at www.broadwaystudioorchestra.com (the "Site") and any purchases you make from Broadway Studio Orchestra ("we", "us", "our"). By accessing the Site or placing an order, you confirm that you have read, understood, and agree to be bound by these Terms.

Broadway Studio Orchestra is operated from the United Kingdom. These Terms are governed by the laws of England and Wales, and any disputes are subject to the exclusive jurisdiction of the courts of England and Wales.

2. Products & Digital Content

We sell digital audio backing tracks ("Tracks") intended for use in Musical Theatre performance, rehearsal, and recording. All Tracks are delivered electronically as high-quality WAV files. No physical media is supplied.

Track previews are provided for evaluation purposes only. We strongly recommend that you listen to the full preview on our YouTube channel before purchasing to ensure the arrangement, key, and style meet your requirements.

All Tracks are listed in Pounds Sterling (£). Prices are subject to change, but any change will not affect orders already placed and confirmed.

3. Licence to Use

Upon completion of a successful purchase, we grant you a personal, non-exclusive, non-transferable, worldwide licence to use the purchased Track(s) for the following permitted purposes:

  • Live concert, cabaret, revue, audition, or competition performance.
  • Rehearsal and private practice.
  • Personal showreel or demo recordings not placed for commercial sale.

Permitted Commercial Recording Use

If you wish to use a Track as the musical backing for a commercially released recording (e.g. an album released on streaming platforms, sold as a physical product, or licensed to third parties), you must contact us in advance at info@broadwaystudioorchestra.com to obtain a written commercial release agreement. Additional licensing fees may apply.

What You May Not Do

  • Resell, sublicense, redistribute, or share the Track files with any third party.
  • Upload the audio files to any streaming platform, download store, or file-sharing service.
  • Remove, alter, or obscure any metadata, watermarks, or copyright notices embedded in the files.
  • Use the Tracks in any production that infringes the performing rights of the underlying work without holding the appropriate licence from the rights holder (e.g. PRS for Music, or the publisher directly).

Note: Broadway Studio Orchestra holds SG6 and PROL licences with PRS for Music, which cover the mechanical rights for our recording and sale of these Tracks. You remain responsible for obtaining any performing rights licences required for your own use (e.g. a concert or production licence from the relevant rights holder).

5. Payment & Tax

All payments are processed securely via PayPal. We do not store your payment card details. By proceeding to checkout you agree to PayPal's own terms and conditions.

Where required by law, Value Added Tax (VAT), Goods and Services Tax (GST), or Sales Tax is applied at checkout based on the country you select. Tax rates reflect the applicable national rate for digital services at the time of purchase. UK customers are not charged VAT or sales tax on digital downloads at this time.

Your order is not confirmed until payment has been successfully captured by our payment processor. We reserve the right to cancel any order where payment is not received in full.

6. Delivery & Download Links

Upon successful payment, a confirmation email containing secure download link(s) will be sent to the email address you provided at checkout. Please check your spam or junk folder if the email does not appear within a few minutes.

Download links are valid for 7 days from the date of purchase. After expiry, you may re-access your orders at any time via our My Orders page by entering your purchase email address. If you experience difficulties, please contact us.

7. Returns, Refunds & Your Statutory Rights

Under the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you have the right to cancel a contract for digital content within 14 days of purchase (the "cooling-off period").

However, by placing an order you expressly consent to the immediate delivery of the digital content and acknowledge that you thereby waive your right to cancel under the above Regulations once the download has been made available to you, in accordance with Regulation 37 of those Regulations.

This does not affect your statutory rights in the event that the digital content is faulty, not as described, or not fit for purpose under the Consumer Rights Act 2015. If you receive a Track that is damaged, corrupted, or materially different from what was described, please contact us at info@broadwaystudioorchestra.com and we will investigate and, where appropriate, provide a replacement or refund.

8. Limitation of Liability

To the maximum extent permitted by law, Broadway Studio Orchestra shall not be liable for any indirect, incidental, special, or consequential damages arising out of your use of the Tracks, including but not limited to loss of revenue, loss of anticipated savings, or loss of goodwill.

Our total liability to you in connection with any order shall not exceed the total price paid for the relevant Tracks in that order.

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other matter for which liability cannot be excluded or limited under English law.

9. Changes to These Terms

We reserve the right to update these Terms at any time. The date of the most recent revision is shown at the top of this page. Continued use of the Site after any changes constitutes your acceptance of the new Terms. Changes will not affect orders placed prior to the revision date.

This Privacy Policy explains what personal data we collect, why we collect it, how we use it, and your rights under the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

12. What Data We Collect & Why

When You Make a Purchase

We collect your name, email address, and country of residence. This data is necessary to:

  • Process and fulfil your order.
  • Send you your download links.
  • Calculate and apply the correct tax rate.
  • Maintain records for financial and tax compliance purposes.

Legal basis: Performance of a contract (UK GDPR Article 6(1)(b)) and Legal obligation (Article 6(1)(c)).

When You Sign Up to Our Mailing List

We collect your email address and, optionally, your name to send you notifications about new track releases and occasional updates. We will only send marketing emails with your explicit consent.

Legal basis: Consent (UK GDPR Article 6(1)(a)). You may unsubscribe at any time by contacting us.

When You Contact Us

We collect your name, email address, and the contents of your message to respond to your enquiry.

Legal basis: Legitimate interests (UK GDPR Article 6(1)(f)).

Usage & Analytics Data

We collect anonymised analytics data (page views, search queries, track previews) to understand how the Site is used and improve our service. This data is not linked to individually identifiable persons.

13. How We Share Your Data

We do not sell, rent, or trade your personal data. We may share your data with the following trusted third parties only where necessary to operate our service:

  • PayPal — to process payments. PayPal operates as an independent data controller for payment data. Please review PayPal's Privacy Policy.
  • Resend — our transactional email provider, used to deliver order confirmation and download emails. Your email address is shared only to facilitate delivery.
  • Base44 / Wix — the platform that hosts and operates this website. Your data is stored on their secure infrastructure.

All third-party providers are required to process your data in compliance with applicable data protection law and are only permitted to use it for the specified purpose.

14. Data Retention

We retain your order data (name, email, country, tracks purchased, and amounts) for a minimum of 7 years to comply with HMRC record-keeping requirements under the Taxes Management Act 1970.

Mailing list subscriptions are retained until you unsubscribe or request deletion. Contact enquiries are retained for up to 2 years.

15. Your Rights

Under UK GDPR, you have the following rights regarding your personal data:

  • Right of Access — request a copy of the personal data we hold about you.
  • Right to Rectification — request correction of inaccurate or incomplete data.
  • Right to Erasure — request deletion of your data, subject to our legal retention obligations.
  • Right to Restrict Processing — ask us to pause the processing of your data in certain circumstances.
  • Right to Data Portability — receive your data in a structured, machine-readable format.

We take reasonable technical and organisational measures to protect your personal data against unauthorised access, loss, or misuse. These measures include encrypted connections (HTTPS), secure token-based download links, server-side payment processing (we never handle raw card data), and access controls limiting data access to authorised personnel only.

No method of electronic transmission or storage is 100% secure. If you have reason to believe that your interaction with us is no longer secure, please contact us immediately.

17. Cookies

This Site uses only essential functional cookies required for the shopping cart and session management. We do not use third-party advertising cookies or track you across other websites. No cookie consent banner is required for strictly necessary cookies under the UK Privacy and Electronic Communications Regulations (PECR).
